PLEASE READ THESE TERMS OF SERVICE CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION THAT AFFECTS YOUR RIGHTS, REMEDIES, AND OBLIGATIONS. THEY INCLUDE AN AGREEMENT TO ARBITRATE (UNLESS YOU OPT OUT), A PROHIBITION OF CLASS AND REPRESENTATIVE ACTIONS AND NON-INDIVIDUALIZED RELIEF FOR ALL MATTERS IN EITHER COURT OR ARBITRATION, VARIOUS LIMITATIONS AND EXCLUSIONS, A CLAUSE THAT GOVERNS THE JURISDICTION, VENUE, AND GOVERNING LAW OF DISPUTES, EXCEPT WHERE PROHIBITED, AND OBLIGATIONS TO COMPLY WITH APPLICABLE LAWS AND REGULATIONS.

1. INTRODUCTION

Skylo, Inc. and its subsidiaries (collectively, "Skylo", "we", or "us"), provide an online aircraft sharing platform that connects aircraft owners with pilots seeking to book those aircraft. Skylo is accessible online at flyskylo.com and as an application for mobile devices. The Skylo websites, blog, mobile applications, and associated services are collectively referred to as "the Services". By accessing or using the Services, including by communicating with us or other Skylo users, you agree to comply with, and be legally bound by, the provisions of these Terms of Service (these "Terms"), whether or not you become a registered user of the Services.

These Terms govern your access to and use of the Services and constitute a binding legal agreement between you and Skylo. Together with the Skylo Privacy Policy, cancellation policy, nondiscrimination policy, applicable insurance terms and certificates, and additional policies (together, the "Policies"), these Terms constitute the "Agreement" between you and Skylo (each a "Party" and together, "the Parties").

Modification

Skylo reserves the right, at our sole discretion, to modify the Services or to modify the Agreement, including these Terms, at any time. If we modify these Terms, we will post the modification on the Services and update the "Last Revised" date at the top of these Terms. If you continue to access or use the Services after we have posted a modification or have provided you with notice of a modification, you are indicating that you agree to be bound by the modified terms. If the modified terms are not acceptable to you, your sole recourse is to stop using and accessing the Services and close your Skylo Account within 30 days.


2. SKYLO'S ROLE AS A NEUTRAL PLATFORM

Platform Disclaimer: Skylo is a neutral platform that facilitates dry lease agreements. Payments are processed via Stripe directly between users. Skylo does not act as an air carrier, broker, or flight provider.

Skylo's Role

  • Neutral Online Marketplace: Skylo is a neutral online marketplace that connects licensed pilots with private aircraft owners to facilitate non-commercial dry lease agreements.
  • Not an Air Carrier: Skylo does not operate flights, does not provide pilots, and is not a Part 135 air carrier, broker, or charter service provider.
  • No Operational Control: Skylo does not hold operational control over any aircraft listed on the platform.

Payment Processing

  • Stripe Connect Processing: Payments are processed securely through Stripe Connect.
  • Direct Owner Payments: Aircraft owners receive funds directly through their connected Stripe accounts.
  • No Fund Holding: Skylo does not collect or hold funds on behalf of users. Instead, Skylo receives a platform service fee automatically split during the transaction process.

Lessee Responsibility

  • Pilot License Requirements: The lessee is solely responsible for holding a valid pilot license and for complying with all applicable FAA regulations, including operating under Part 91.
  • Operational Control: Lessees assume full operational control of the aircraft during the lease period. Skylo bears no responsibility for the outcome or conduct of the flight.

Insurance

  • No Platform Insurance: Skylo does not provide insurance.
  • User Responsibility: It is the sole responsibility of aircraft owners and lessees to ensure adequate insurance coverage exists for any rental or flight activity conducted via the platform.

3. ELIGIBILITY, REGISTRATION, AND VERIFICATION

Eligibility

The Services are intended solely for pilots who meet our requirements in the location where the aircraft is booked and aircraft owners who are qualified. Any use of the Services by anyone that does not meet these requirements is expressly prohibited. You must be at least 18 years old to use our Services.

Registration

To access certain features of the Services, you must sign up for an account with us (a "Skylo Account"). You can create a Skylo Account by providing us your first and last name, email address, and creating a password or connecting through an account with a third-party site or service (including Apple and Google). When you book an aircraft as a pilot ("Pilot"), you provide us with certain additional information about yourself. Similarly, when you list an aircraft as an aircraft owner ("Owner"), you provide us with certain additional information about yourself and your aircraft.

You must provide accurate, current, and complete information during the registration, booking, and/or listing process. You must keep your Skylo Account up to date at all times. Based on information you provide, Skylo may impose additional requirements for you to book a flight (e.g., providing a deposit, adding a second form of payment, buying a certain level of protection plan, or other requirements).

Verification

Where permitted, Skylo has the right, but not the obligation, to undertake screenings, checks, and engage in processes designed to (1) help verify the identities or check the backgrounds of users, including flying history and FAA certificate(s) validity and (2) verify aircraft details. Skylo does not endorse any aircraft, user, or a user's background, or commit to undertake any specific screening process.

Pilot Verification Requirements:

  • Government-issued identification document (passport, driver's license, or state ID)
  • Current FAA pilot license with appropriate ratings
  • Current logbook pages demonstrating flight experience and currency requirements
  • VFR, IFR, and night currency verification as required by FAA regulations
  • Identity verification through our KYC (Know Your Customer) process

Owner Verification Requirements:

  • Government-issued identification document (front and back)
  • Stripe Connect account setup for payment processing
  • Aircraft registration and airworthiness certificates
  • Current insurance documentation
  • Maintenance records and annual inspection documentation

Skylo may permit or refuse your request to book or list an aircraft in its sole and absolute discretion. We do not make any representations about, confirm, or endorse the safety, airworthiness, or legal status of any aircraft beyond our policies that require owners to ensure their aircraft are in safe and operable condition, legally registered to be flown, owned by the party listing the aircraft, not subject to any applicable safety recalls, and otherwise satisfy our eligibility requirements.


4. FEES, TAXES, AND PAYMENTS

Platform Fees

The fees we charge for using the Services will be itemized at checkout for Pilots. Skylo operates on a model where Pilots pay platform fees and Owners receive the full hourly rate for their aircraft. Our current fee structure includes:

For Pilots:

  • Platform Fee: A percentage-based service fee added to your booking total
  • Insurance Fee: A flat fee per booking for comprehensive coverage
  • Security Threshold: A refundable amount set by aircraft owners to cover potential incidentals
  • Payment Processing: No additional fees (included in platform fee)
  • Deposits: No fees for adding funds to your account balance

For Aircraft Owners:

  • Service Fee: No commission deducted from your earnings
  • Payment Processing: No additional fees (handled through Stripe Connect)
  • Payout Fees: No fees for standard bank transfers
  • Insurance: Covered by pilot fees

Prepaid Balance System

Skylo operates a prepaid balance system for Pilots. You must maintain sufficient funds in your account balance to cover all booking costs. Your account balance consists of three components:

  • Available Balance: Funds available for new bookings and transactions
  • Blocked Balance: Funds temporarily held during active bookings to ensure payment
  • Outstanding Balance: Unpaid amounts owed to the platform, automatically deducted from new deposits

When you provide Skylo a payment method, you authorize Skylo to store your payment credential for future use. You are responsible for maintaining sufficient account balance at all times. If your account balance is insufficient to cover post-flight costs, the remaining amount becomes an outstanding balance that must be paid before making future bookings.

Owner Payout System

Aircraft Owners receive payments through Stripe Connect accounts linked to their bank accounts. Owners must complete identity verification and provide valid banking information to receive payouts. Payouts are processed according to your selected schedule (weekly or monthly) and transferred directly to your connected bank account. Owners receive the full hourly rate with no commission deducted by Skylo.

Wet vs. Dry Rental Options

Aircraft owners may offer different rental types to accommodate pilot preferences:

  • Wet Rental: Fuel cost is included in the hourly rate. Pilots may be eligible for fuel reimbursement when purchasing fuel during the rental period, subject to verification and owner fuel pricing.
  • Dry Rental: Pilots are responsible for all fuel costs separately from the hourly rate. Generally offered at a lower hourly rate since fuel is not included.
  • Both Options: Some aircraft offer both wet and dry rates, allowing pilots to choose their preferred rental type at booking.

The rental type selected at booking determines billing structure, fuel responsibility, and any applicable reimbursement processes.

HOBBS-Based Billing System

Final billing is determined by actual HOBBS meter time recorded during your flight. This system ensures accurate billing based on actual aircraft usage:

  • Pre-Flight: Pilots must photograph the HOBBS meter reading before engine start
  • Post-Flight: Pilots must photograph the HOBBS meter reading after engine shutdown
  • Automated Processing: Our system extracts HOBBS readings from submitted images
  • Verification: Readings are automatically verified for accuracy and consistency
  • Manual Review: Discrepancies between automated extraction and manual entry require admin review
  • Final Billing: Your account is charged based on verified HOBBS time multiplied by the applicable hourly rate

If HOBBS readings cannot be verified automatically, manual admin review may result in billing adjustments. You are responsible for submitting clear, legible HOBBS meter images.

Fuel Receipt Processing (Wet Rentals)

For wet rentals, pilots may be eligible for fuel reimbursement when purchasing fuel during the rental period:

  • Receipt Submission: Upload clear images of fuel receipts showing total cost and gallons purchased
  • Automated Processing: Our system extracts cost and quantity information from receipt images
  • Verification Process: Receipts are verified against owner fuel pricing and reimbursement policies
  • Manual Review: Receipts that cannot be automatically verified require admin review
  • Reimbursement: Approved fuel costs are credited to your account balance
  • Rejection: Invalid or non-reimbursable fuel purchases may be rejected

Fuel reimbursement is subject to aircraft owner policies and may have limitations on eligible fuel types, locations, or pricing.

Collection of Fees

Skylo and its service providers will employ all legal methods available to collect amounts due, including the engagement of collection agencies or legal counsel. Skylo may also report information about your Skylo Account to credit bureaus. Late payments, missed payments, or other defaults on your Skylo Account may be reflected in your credit report.

Taxes

In certain jurisdictions, Skylo may enable the collection and remittance of certain taxes from or on behalf of Pilots or Owners, based on existing and future tax regulations. The amount of taxes, if any, collected and remitted by Skylo will be visible to, and separately stated, to both Pilots and Owners on their respective flight-related documents and invoices.


5. USER RESPONSIBILITIES AND COMMITMENTS

Account Activity

You are, and will be solely responsible for, all of the activity that occurs through your Skylo Account. Keep your Skylo Account information, including your password, secure. You agree that you will not disclose your password to any third party and that you will take sole responsibility for any activities or actions under your Skylo Account.

Pilot Responsibilities

  • Certification & Currency: Maintain current and valid FAA certifications, medical certificates, and all applicable currency requirements (VFR, IFR, night, passenger-carrying)
  • Account Management: Maintain sufficient account balance to cover all booking costs, including estimated flight time, platform fees, insurance, and security thresholds
  • Pre-Flight Responsibilities: Conduct thorough preflight inspections, verify aircraft airworthiness, and photograph start HOBBS meter readings
  • Flight Operations: Follow all safety protocols, FAA regulations, and local airport rules during aircraft operation
  • Post-Flight Requirements: Photograph end HOBBS meter readings, complete post-flight inspection, and report any issues or discrepancies immediately
  • Fuel Documentation (Wet Rentals): Submit clear images of fuel receipts when purchasing fuel during wet rentals, including cost and quantity information
  • Incident Reporting: Report any aircraft damage, mechanical issues, safety concerns, or aviation incidents immediately to both the owner and Skylo
  • Aircraft Care: Treat aircraft with reasonable care, follow operating limitations, and return aircraft in the same condition as received
  • Outstanding Balances: Pay any outstanding balances promptly to maintain platform access and good standing
  • Document Verification: Keep all verification documents (license, medical, logbook) current and respond promptly to reverification requests

Owner Responsibilities

  • Airworthiness Maintenance: Ensure aircraft is in safe, airworthy condition before each rental and maintain all required inspections on schedule
  • Documentation Management: Maintain current registration, airworthiness certificates, insurance policies, and upload current maintenance logbooks to the platform
  • Maintenance Tracking: Upload maintenance records promptly after completion and respond to platform maintenance due date notifications to prevent automatic aircraft blocking
  • Listing Accuracy: Provide accurate aircraft specifications, operating limitations, performance data, and equipment lists
  • Availability Management: Maintain accurate availability schedules, respond promptly to booking requests, and provide adequate notice for unavailable periods
  • Communication: Respond promptly to pilot communications, booking requests, and platform notifications
  • Rate Management: Set appropriate wet and/or dry rental rates, security thresholds, and fuel reimbursement policies
  • Bank Account Verification: Complete Stripe Connect setup with verified banking information to receive payouts
  • Insurance Compliance: Maintain appropriate insurance coverage as required by law and platform policies
  • Pre-Rental Preparation: Ensure aircraft is fueled (for wet rentals), cleaned, and prepared for each rental period
  • Issue Disclosure: Report any known aircraft issues, limitations, or defects to pilots before they begin flights
  • Emergency Contact: Maintain current contact information and be available for urgent aircraft-related matters

Prohibited Uses

You agree not to use the Services to:

  • Violate any laws, regulations, or third-party rights
  • Engage in fraudulent, deceptive, or misleading activities
  • Attempt to circumvent any verification or security measures
  • Use aircraft for illegal purposes or unauthorized commercial operations
  • Harass, abuse, or harm other users
  • Interfere with the proper functioning of the Services
  • Create false or duplicate accounts
  • Attempt to gain unauthorized access to other users' accounts or information

6. AIRCRAFT BOOKINGS AND AVAILABILITY

Booking Process and Requirements

Pilots can request bookings for available aircraft through the platform. All bookings are subject to the following requirements:

  • Verification Status: Pilots must have completed and approved identity and license verification
  • Account Balance: Sufficient funds must be available in your account to cover the estimated flight cost, fees, and security threshold
  • Advance Notice: Bookings must comply with aircraft-specific minimum advance notice requirements
  • Owner Approval: All booking requests require owner approval, which may be automatic or manual based on owner preferences
  • Currency Requirements: Pilots must meet all applicable FAA currency requirements for the type of flight planned

Upon booking confirmation, funds are immediately blocked from your account balance to secure the reservation. These funds remain blocked until the flight is completed and final billing is processed.

Availability Management

Owners are responsible for maintaining accurate availability schedules through the platform. Skylo is not responsible for conflicts arising from inaccurate availability information. Owners may set:

  • Minimum booking durations
  • Advance notice requirements
  • Buffer time before and after bookings
  • Recurring availability patterns
  • Blackout dates or unavailable periods
  • Security threshold amounts for their aircraft

Aircraft Maintenance and Airworthiness

Aircraft availability is automatically managed based on maintenance status to ensure safety:

  • Maintenance Tracking: Aircraft owners must upload current maintenance logbooks and inspection records
  • Status Monitoring: Aircraft are continuously monitored for maintenance due dates (annual, 100-hour, etc.)
  • Owner Notifications: Owners receive advance warnings when maintenance is due (30 days, 7 days, overdue)
  • Automatic Blocking: Aircraft are automatically removed from booking availability when maintenance becomes critically overdue (typically 14+ days)
  • Booking Cancellations: Existing bookings may be cancelled if aircraft become unairworthy due to overdue maintenance
  • Restoration: Aircraft are automatically restored to availability once current maintenance documentation is uploaded and verified

Owners are solely responsible for ensuring their aircraft remain in airworthy condition. Skylo's maintenance tracking is a safety aid and does not replace the owner's legal obligations under FAA regulations.

Cancellation Policies

Cancellation policies vary by aircraft and are set by individual Owners. You will see specific cancellation terms before confirming any booking. General cancellation principles include:

  • Pilot Cancellations: Subject to aircraft-specific cancellation policy and timeline
  • Owner Cancellations: Owners may cancel bookings for safety, maintenance, or emergency reasons with full refund to pilot
  • Platform Cancellations: Skylo may cancel bookings for safety violations, policy breaches, or system issues
  • Late Cancellations: May incur additional fees as specified in aircraft cancellation policy
  • No-Show Policy: Failure to appear for confirmed booking may result in forfeiture of blocked funds

Weather and Safety Cancellations

Safety is the highest priority. Flights may be cancelled for:

  • Weather Conditions: When weather is below legal minimums or unsafe for the planned flight
  • Aircraft Issues: Mechanical problems, maintenance defects, or airworthiness concerns
  • Pilot Currency: If pilot currency expires before the flight
  • Airport Closures: When departure or destination airports are closed
  • Emergency Situations: Any situation that compromises flight safety

For safety-related cancellations, Pilots receive full refunds of all fees paid. The pilot-in-command has final authority for all flight safety decisions in accordance with FAA regulations, regardless of any financial considerations.


7. SAFETY, INSURANCE, AND LIABILITY

Safety Responsibility

YOU ACKNOWLEDGE AND AGREE THAT SKYLO IS NOT RESPONSIBLE FOR THE SAFETY, AIRWORTHINESS, OR CONDITION OF ANY AIRCRAFT LISTED ON THE PLATFORM. Aircraft Owners are solely responsible for ensuring their aircraft are in safe, airworthy condition. Pilots are solely responsible for making appropriate safety decisions and conducting proper preflight inspections.

Insurance Requirements

All aircraft must maintain appropriate insurance coverage as required by applicable law. The platform includes insurance fees in booking costs to provide additional coverage, but this does not replace or supersede the Owner's primary insurance obligations. You should review your insurance coverage and understand what is and is not covered.

Limitation of Liability

SKYLO'S LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW. IN NO EVENT SHALL SKYLO BE LIABLE FOR ANY AIRCRAFT ACCIDENTS, INJURIES, DEATHS, OR PROPERTY DAMAGE ARISING FROM THE USE OF AIRCRAFT BOOKED THROUGH THE PLATFORM. Users participate in aircraft operations at their own risk and are responsible for their own safety and the safety of others.


8. DISPUTES AND PROBLEM RESOLUTION

Dispute Resolution Process

If disputes arise between Pilots and Owners, Skylo provides mediation services to help resolve issues. Our support team will investigate disputes and may make determinations regarding refunds, additional charges, or other remedies. You agree to cooperate with our dispute resolution process by providing:

  • Complete and accurate information about the disputed matter
  • Relevant documentation, photographs, or evidence
  • Cooperation with investigation requests and timelines
  • Good faith participation in resolution discussions

HOBBS Meter Reading Disputes

Disputes regarding HOBBS meter readings will be resolved through our verification process:

  • Automated Verification: System compares extracted readings from submitted images with manually entered values
  • Manual Review: Admin review when automated systems detect discrepancies or unclear images
  • Evidence Consideration: Review of maintenance records, flight logs, and other supporting evidence
  • Expert Analysis: Technical review of HOBBS meter functionality or image authenticity when needed
  • Final Determination: Our determination of actual flight time will be final and binding for billing purposes

If HOBBS images are unclear or illegible, pilots may be required to provide additional documentation or accept manual time estimates based on available evidence.

Fuel Receipt Verification Disputes

For wet rental fuel reimbursement disputes, our review process includes:

  • Receipt Verification: Validation of receipt authenticity, legibility, and completeness
  • Pricing Analysis: Comparison against owner fuel pricing policies and reasonable market rates
  • Quantity Verification: Assessment of fuel quantity against aircraft capacity and flight duration
  • Policy Compliance: Verification that fuel purchase meets owner reimbursement policies
  • Documentation Requirements: Confirmation that all required receipt information is present and valid

Fuel reimbursement requests may be approved, partially approved, or denied based on verification results. Our decisions regarding fuel reimbursement eligibility are final.

Outstanding Balance Collection

When pilots have outstanding balances due to insufficient account funds:

  • Automatic Collection: Outstanding balances are automatically deducted from any new deposits made to pilot accounts
  • Payment Reminders: Regular notifications sent regarding outstanding balance amounts and payment requirements
  • Account Restrictions: New bookings may be blocked until outstanding balances are resolved
  • Collection Activities: Unpaid balances may be subject to collection activities including engagement of collection agencies or legal counsel
  • Credit Reporting: Outstanding balances may be reported to credit bureaus as permitted by law

You remain responsible for all outstanding balances regardless of account status or platform usage.

Aircraft Damage Claims

Claims for aircraft damage must be reported immediately after discovery. The damage resolution process includes:

  • Immediate Reporting: Both pilots and owners must report damage within 24 hours of discovery
  • Documentation: Photographs and detailed descriptions of damage must be provided
  • Investigation: Skylo may investigate the cause, timing, and extent of reported damage
  • Responsibility Determination: Assessment of whether damage occurred during pilot's rental period
  • Cost Assessment: Evaluation of repair costs through qualified service providers
  • Payment Resolution: Security thresholds may be applied to damage costs, with additional amounts billed to pilot accounts

Pilots may be held responsible for damage that occurs during their rental period, including pre-existing damage not properly documented during pre-flight inspection.

Platform Decision Authority

Skylo reserves the right to make final determinations regarding:

  • Flight time billing based on HOBBS meter verification
  • Fuel reimbursement eligibility and amounts
  • Damage responsibility and repair cost allocation
  • Outstanding balance collection and account restrictions
  • Booking cancellations for safety or policy violations
  • Account suspension or termination for Terms violations

These determinations are made to maintain platform integrity, safety, and fairness for all users.


9. INTELLECTUAL PROPERTY AND CONTENT

Skylo's Intellectual Property

The Services and all content, features, and functionality are owned by Skylo and are protected by copyright, trademark, and other intellectual property laws. You may not use our trademarks, logos, or other proprietary information without our express written consent.

User Content

You retain ownership of content you upload to the Services, including aircraft photos, descriptions, and other materials. However, you grant Skylo a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content in connection with operating the Services.

Verification Documents

Documents uploaded for verification purposes (licenses, logbooks, identification) are used solely for verification and compliance purposes. Skylo maintains strict security measures to protect this sensitive information and will not use it for any purpose other than platform operation and regulatory compliance.


10. PRIVACY AND DATA PROTECTION

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your information as described in our Privacy Policy.

Data Sharing

Skylo may share certain information between Pilots and Owners to facilitate bookings, including contact information, verification status, and flight-related details. We do not sell personal information to third parties.

Data Retention

We retain user data as necessary to provide Services and comply with legal obligations. Flight records, financial transactions, and safety-related information may be retained for extended periods as required by aviation regulations and financial record-keeping requirements.


11. ACCOUNT TERMINATION AND SUSPENSION

Termination by User

You may terminate your account at any time by contacting support or using account deletion features in the app. Account deletion is subject to completion of all outstanding bookings and resolution of any disputes or outstanding balances.

Termination by Skylo

Skylo may suspend or terminate your account immediately for violations of these Terms, safety concerns, fraudulent activity, or other reasons that compromise the integrity of the platform. We may also terminate accounts for extended periods of inactivity.

Effect of Termination

Upon termination, your access to the Services will cease immediately. Outstanding financial obligations will remain due, and certain provisions of these Terms will survive termination, including payment obligations, liability limitations, and intellectual property provisions.


12. DISCLAIMERS AND WARRANTIES

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SKYLO MAKES NO WARRANTIES REGARDING:

  • The safety, airworthiness, or condition of any aircraft
  • The accuracy of information provided by users
  • The qualifications or behavior of pilots or aircraft owners
  • The availability or reliability of the Services
  • The accuracy of HOBBS meter readings or other flight data
  • The resolution of disputes between users

YOU ACKNOWLEDGE THAT AIRCRAFT OPERATIONS INVOLVE INHERENT RISKS AND THAT SKYLO CANNOT ELIMINATE OR CONTROL ALL RISKS ASSOCIATED WITH AVIATION ACTIVITIES.


13. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, SKYLO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICES.

IN NO EVENT SHALL SKYLO'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO SKYLO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.


14. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Skylo, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your aircraft operations or use of aircraft booked through the platform
  • Any content you submit or transmit through the Services
  • Your breach of any laws or regulations

15. DISPUTE RESOLUTION AND ARBITRATION

Mandatory Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

Most disputes between you and Skylo will be resolved through binding arbitration. You and Skylo agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be settled by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Class Action Waiver

YOU AND SKYLO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Opt-Out

You may opt out of arbitration by sending written notice to support@flyskylo.com within 30 days of first accepting these Terms.


16. MISCELLANEOUS PROVISIONS

Governing Law

These Terms and any disputes arising under them will be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be deemed modified to the minimum extent necessary to make it enforceable.

Entire Agreement

These Terms, together with our Privacy Policy and other referenced policies, constitute the entire agreement between you and Skylo regarding the Services and supersede all prior agreements and understandings.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. Skylo may assign these Terms and any associated rights without restriction.

Force Majeure

Skylo will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, war, terrorism, strikes, or governmental actions.


17. PLATFORM FEATURES AND OPERATIONAL SYSTEMS

Automated Verification Systems

Skylo employs automated systems to enhance safety, accuracy, and efficiency:

  • Document Processing: Automated extraction and verification of information from uploaded documents including licenses, maintenance records, and receipts
  • HOBBS Meter Reading: Computer vision technology extracts flight time data from submitted HOBBS meter images
  • Maintenance Monitoring: Automated tracking of aircraft maintenance due dates with notification and blocking systems
  • Financial Processing: Automated balance updates, payment processing, and payout calculations
  • Fraud Detection: Automated monitoring for suspicious activities, booking patterns, and security concerns

These automated systems are designed to improve accuracy and reduce processing time, but all automated decisions are subject to manual review when necessary.

Notification and Communication Systems

The platform provides various notification methods to keep users informed:

  • Push Notifications: Mobile app notifications for booking updates, payment confirmations, and urgent messages
  • Email Notifications: Transactional emails for bookings, payments, verification updates, and important account changes
  • In-App Messaging: Direct messaging between pilots and owners for booking-related communications
  • Support System: Integrated support chat with both automated assistance and human support options
  • Status Updates: Real-time updates on booking status, verification progress, and account changes

You can control your notification preferences through your account settings, though certain critical safety and security notifications cannot be disabled.

Skylo provides multi-language support to serve our international user base:

  • Platform interface available in English and German
  • Automatic language detection based on device settings
  • User-selectable language preferences
  • Localized content for different regions and regulations

While we strive for accurate translations, the English version of these Terms of Service shall prevail in case of any discrepancies.

Skylo collects and analyzes platform usage data to improve service quality:

  • Aircraft Metrics: View counts, booking success rates, and listing performance data

18. PLATFORM-SPECIFIC PROVISIONS

Not an Aircraft Rental Company

SKYLO IS NOT AN AIRCRAFT RENTAL COMPANY. Skylo does not own aircraft and is not in the business of renting aircraft to the public. Skylo provides an online platform where aircraft owners and pilots can connect and arrange aircraft sharing among themselves, subject to these Terms.

Technology Platform

Skylo operates as a technology platform facilitating connections between users. We provide tools for listing aircraft, managing availability, processing payments, verification services, and communication features, but we are not a party to the agreements between Pilots and Owners.

International Use

The Services may be used internationally, but all users must comply with applicable local laws and regulations. Skylo makes no representation that the Services are appropriate or available in all jurisdictions.
